Even if your company has not been trading, it is still a legal requirement to complete your annual filings. These filings include the following:
1) Confirmation Statement: The Confirmation Statement needs to be filed with Companies House. Failure to file this statement will result in the dissolution of your company. You can view our filing service here.
2) Dormant Company Accounts: Dormant Company Accounts also need to be filed with Companies House. It is important to note that even if your company is dormant, failing to file the accounts on time will result in a financial penalty starting from £150. You can view our filing service here.
3) Corporation Tax: You only need to pay Corporation Tax on your taxable profits. If your company is not trading, you will not have any taxable profits and therefore, will not need to pay any tax. However, it is still necessary to inform HMRC that your company is dormant. If you fail to do so, HMRC will assume that you are trading and will pursue you for Corporation Tax. Failure to deliver tax returns will also result in a financial penalty. You can contact HMRC by calling 0300 200 3410 within the UK or +44 151 268 0571 outside the UK. Alternatively, you can notify HMRC online.
